Certificate Registration Rules
Individual Ownership
Individual ownership should appear on the certificate in the form of
a given name, middle initial(s) and last name only, (JOHN A. DOE). Prefixes
like "Mr.", "Mrs.", "Miss", "Ms.",
"Dr.", etc., should not appear on the certificate and Suffixes
like "Senior", "Junior", "Second", "Third",
etc., should be abbreviated.
Multiple Owners
Multiple ownership should appear on the certificate with an ampersand
(&) joining the owners' names, in the following forms:
- tenants in common: "JOHN DOE & MARY DOE & SALLY DOE
TEN COM"
- tenants by the entireties: "JOHN DOE & MARY DOE TEN ENT"
- joint tenants: "JOHN DOE & MARY DOE & SALLY DOE JT
TEN"
Corporations and Partnerships
The corporate or partnership name should appear on the certificate without
abbreviation.
Various Uniform Acts of Registration
- If the UGMA (Uniform Gifts to Minors Act) applies, the usual form
of registration is, "JOHN DOE CUST MARY DOE (state abbreviation)
UNIF GIFT MIN ACT";
- If the UTMA (Uniform Transfers to Minors Act ) applies, the usual
form of registration is. "JOHN DOE CUST MARY DOE (state abbreviation)
UNIF TRANS MIN ACT".
- If the UCTA (Uniform Custodial Trust Act) applies, the form of registration
is, "Mary Doe as custodial trustee for John Doe under the (state
abbreviation) Uniform Custodial Trust Act".
- If the UTODA (Uniform TOD Security Registration Act) applies, the
form of registration is, "John Doe TOD Mary Doe SUBJECT TO STA
TOD RULES".
Fiduciaries
The proper format to register securities to a fiduciary ownership is
that the name of the fiduciary is followed by the capacity of the fiduciary,
abbreviated, MARY DOE GUARDIAN OF JOHN DOE (fiduciary) (guardian) (person
and estate) (judged impaired).
Life Tenants
Life tenancies should appear on the certificate in the form, "MARY
DOE LIFE TEN UW JOHN DOE".
Agents
Agents should appear in the form, "RICHARD ROE AGENT FOR JOHN
DOE UA DATED".
Pension and Profit-Sharing Plans and Trusts
Ownership by such trusts or plans should appear on the certificate without
abbreviation in the form, "TRUSTEES OF ABC CORPORATION PENSION
(OR PROFIT-SHARING) PLAN".
